Definition of Proxy Fight

A Proxy Fight is a mechanism that discontent shareholders use to replace management. A proxy is when a shareholder allows another shareholder to represent them. The discontent shareholders try to solicit proxies from other shareholders. These proxies will represent votes to replace management.

One of the most widely known Proxy Fight s was when management of HP and Compaq proposed merging. This proxy fight was estimated to cost well over $100 million.
